Standing Rules

A. Board of Directors meeting of MANA shall be open for attendance to any active member. If you wish to address the Board on an issue, you must present your request to the President of the Association, in writing, 72 hours prior to the meeting. Requests submitted shall be considered by the Board and shall be the first item of business.

B. Board’s place of meeting, date, and time shall be published in the Gas Line. However, any defect in giving notice shall not invalidate the meeting or the actions taken.

C. Declaration of any Executive Session, for closing the Meeting to individuals other than the Board of Directors or their invitees shall be deliberations which may directly or indirectly lead to action by the Board of Directors concerning the conduct of a Director, officer, or individual member, whether or not corrective action is contemplated or formal disciplinary action has been commenced, unless the affected individual waives such right, matters which directly or indirectly relate to legal affairs, and other sensitive matters deemed necessary to be treated as confidential or sensitive in nature.

D. Standing Rules of MANA Business Meeting:

  • Only AANA members may attend the Business Meeting, except as authorized by the MANA Board of Directors.
  • All motions / amendments must be in writing.
  • Only MANA active members may make a motion and vote on the business before members, but any member may speak to an issue and debate.
  • All MANA members must have a name tag designating active MANA membership.
  • No tape recording of the proceedings.
  • Motions requiring a majority shall be carried by an rising affirmative vote of the majority of the members present and voting. Motions requiring a two-thirds vote shall be carried by an affirmative rising vote of two-thirds of the members present and voting. Voting by ballot may be requested by a majority of the members.
  • Debate shall be limited to two minutes per member. No one can speak twice on the same subject without permission of the group.
  • All ballots shall be destroyed 30 days from the close of the Annual Meeting.
